These Terms of Use (“Terms”) govern Your access to and use of the website operated by StoryFirst Academy at https://challenge.storyfirst.club and any successor or related domain designated by Us from time to time (“Website”), and Your purchase of and participation in any Service (as defined below) made available by Us via the Website from time to time. These Terms, together with Our Privacy Policy, set out the basis on which You may access the Website, purchase a Service, and participate in it. By accessing or using the Website, or by purchasing a Service, You confirm that You have read, understood, and agree to be bound by these Terms. If You do not agree with these Terms, You are advised to refrain from accessing the Website or purchasing a Service.

1. ABOUT US

The Website is operated by StoryFirst Academy. StoryFirst Academy is a trading name and does not constitute a company, limited liability partnership, partnership, society, or other separately registered legal entity. All communications may be addressed to hello@storyfirst.club.

2. DEFINITIONS

“Services” means any programme, course, seminar, webinar, workshop, masterclass, training, cohort-based programme, digital resource, or other similar offering, howsoever branded or named, delivered by Us online or offline, on a live, recorded, or self-paced basis, and made available by Us via the Website from time to time, whether currently offered or introduced by Us at any time in the future; and “Service” means any one of them.

“Service Description” means the specific description of a Service published by Us on the Website, on a dedicated sales or landing page, or otherwise made available to You prior to Your purchase, including its format, duration, schedule, curriculum, price, and what is and is not included. The applicable Service Description forms part of these Terms in respect of the Service to which it relates, and, in the event of any conflict between a Service Description and the general provisions of these Terms, the Service Description shall prevail solely to the extent of that conflict and solely in respect of that Service.

“Third-Party Provider” means any payment gateway, checkout or enrolment platform, communications or email service provider, video-conferencing or webinar hosting provider, community hosting platform, website infrastructure provider, or other third-party service provider engaged by Us from time to time in connection with the operation of the Website or the delivery of a Service.

“Checkout Page” means any third-party landing, checkout, registration, or payment page operated by a Third-Party Provider, to which You may be directed from the Website for the purpose of purchasing or registering for a Service.

3. ABOUT THE SERVICES

We offer a range of Services concerning storytelling, on-camera communication, content creation, and related subject matter. The specific format, duration, schedule, curriculum, and content of a given Service, including whether it comprises live sessions, pre-recorded lessons, content prompts, downloadable materials, or access to a participant community, is as set out in the applicable Service Description.

The Services are educational and opinionated in nature. They do not constitute professional advice of any kind, including financial, business, career, legal, or investment advice. Nothing in a Service, the Website, or any communication from Us constitutes a guarantee, promise, representation, or warranty as to any outcome, including as to audience growth, follower count, engagement, views, brand partnerships, income, earnings, or professional opportunity.

Any figures, results, case studies, testimonials, or examples referred to on the Website or within a Service, whether relating to Us, to any participant, or to any third party, are illustrative only. They are not typical, not promised, and not to be relied upon as an indication of the results You may achieve. Your results depend entirely on factors within Your own control and on factors within no one's control, including the platforms on which You publish.

4. ELIGIBILITY

The Services are intended for persons aged eighteen (18) years and above. By purchasing a Service, You represent and warrant that You are at least eighteen (18) years of age and legally capable of entering into a binding contract.

We do not knowingly enrol or register, collect Personal Data from, or provide a Service to any person below the age of eighteen (18) years. Where We become aware that a person below eighteen (18) years of age has enrolled or registered without appropriate parental or guardian consent, We reserve the right to cancel such enrolment or registration and shall take reasonable steps to delete such person's information from Our records.

5. ENROLMENT, PRICE AND PAYMENT

Enrolment or registration for a Service is subject to availability and to Our acceptance of Your purchase.

Payment is collected and processed by a Third-Party Provider engaged by Us from time to time for that purpose, and not by Us directly. We do not receive, store, or have access to Your card, banking, or payment credentials. Your payment is additionally subject to the relevant Third-Party Provider's own terms and privacy policy, which operate independently of these Terms.

Prices are as displayed at the point of purchase and are subject to change at Our discretion at any time prior to Your purchase. Promotional pricing, early-bird pricing, and discount codes are available only for the period and on the conditions stated at the time they are offered, and We are under no obligation to extend, reinstate, or honour any expired price or code.

Where any bonus, additional session, call, or resource is offered on a limited basis (for example, to a stated number of early registrants, or to participants meeting stated completion criteria), such bonus is available strictly on the terms stated at the time of the offer, and is provided at Our discretion.

Enrolment or registration is personal to You. You may not transfer, share, resell, or assign Your enrolment, registration, or access credentials to any other person.

6. PERSONAL DATA COLLECTED AT CHECKOUT

Personal Data submitted by You on a Checkout Page, including Your name, email address, and phone number, is collected and processed for the purpose of processing Your payment and enrolment or registration.

We do not sell, rent, or trade Your Personal Data to any third party for their own marketing purposes. We use Your Personal Data solely to deliver the relevant Service, communicate with You regarding it, and as otherwise described in Our Privacy Policy. We may share Your Personal Data with Third-Party Providers engaged by Us solely to operate the Website and deliver the Services, including communications and email service providers and video-conferencing or hosting providers, each acting on Our instructions and bound to appropriate confidentiality and data protection obligations.

For the full particulars of what Personal Data We collect, how We use it, which Third-Party Providers We currently engage, and Your rights, please refer to Our Privacy Policy, which forms part of these Terms.

7. THE CHECKOUT PAGE

Where You choose to enrol or register for a Service, You will be redirected from the Website to a Checkout Page operated independently by a Third-Party Provider. The Checkout Page is not part of the Website, is not operated or controlled by Us, and is governed entirely by the operating Third-Party Provider's own terms of use and privacy policy, which You must read and accept independently before proceeding.

We do not operate, control, or accept any responsibility for any Checkout Page, including its content, its security, its uptime, its collection or processing of Your Personal Data, or the processing of Your payment. Any issue relating to payment failure, payment security, unauthorised transactions, or the handling of Your Personal Data on a Checkout Page must be raised directly with the relevant Third-Party Provider and is outside the scope of these Terms.

8. NO REFUNDS AND NO CANCELLATION

Each Service is sold on a no-refund basis. By completing Your purchase, You acknowledge and agree that:

a) a Service is a digital and, where applicable, live educational service, access to which commences on the date stated at the time of purchase or such other date as We notify;

b) You have had the opportunity to read the applicable Service Description, including its dates, structure, and what is and is not included, before purchasing;

c) no refund, credit, or exchange shall be issued on the ground of change of mind, non-attendance, non-participation, non-completion, failure to access the material, dissatisfaction with results, or Your personal circumstances; and

d) no refund shall be issued on a pro-rata or partial basis in respect of any unused portion of a Service.

Where We cancel a Service in its entirety before it commences and do not offer a replacement, We shall refund the amount paid by You for that Service.

9. SCHEDULE, DELIVERY AND CHANGES TO A SERVICE

The dates, session timings, format, order of curriculum, and persons delivering any part of a Service are as indicated in the applicable Service Description and are indicative only. We may vary any of them where reasonably necessary, including in response to operational requirements, participant numbers, illness, technical failure, or circumstances beyond Our reasonable control.

Where a Service includes live sessions conducted online, the format of any such session, including whether participants are able to speak, appear on camera, or interact directly, is determined by Us and may vary from session to session, including by reference to the number of participants attending.

Where a live session forming part of a Service is recorded, the recording is made available to enrolled or registered participants. We do not guarantee that any particular recording will be made, will be free of technical fault, or will be available within any particular timeframe.

We do not guarantee Your ability to attend any live session. It is Your responsibility to ensure You have a suitable device, internet connection, and environment to participate.

10. ACCESS AND “LIFETIME ACCESS”

Where a Service is described as including “lifetime access” to recordings and materials, this means access for so long as We continue to offer that Service, or make its materials available, via the Website or a successor platform, and does not constitute a guarantee of access in perpetuity. Should We discontinue a Service or the platform hosting it, We shall use reasonable efforts to provide advance notice so that You may download any materials You wish to retain.

Access to a Service may be suspended or terminated without refund where You breach these Terms, including the acceptable use and intellectual property provisions below.

11. PARTICIPANT CONDUCT AND COMMUNITY

Where a Service includes access to a participant community hosted on a third-party platform, access to that community is conditional on Your agreement that You shall not:

a) harass, abuse, threaten, demean, or discriminate against any participant, guest, or member of Our team;

b) post or share any content that is unlawful, defamatory, obscene, hateful, or infringing;

c) share, screenshot, republish, or disclose outside the community any other participant's personal information, work, or contributions without their express permission;

d) use the community to solicit, market, advertise, or sell to other participants without Our prior written permission; or

e) use the community, the sessions, or any contact obtained through them for any purpose unrelated to the Service.

We may remove any content, and may suspend or terminate Your access to a Service without refund, where We consider in Our reasonable discretion that You have breached this clause.

Anything You post, submit, or share within a community or in a live session is shared at Your own discretion and risk. We do not control what other participants may do with such material, and We accept no liability in respect of it.

12. INTELLECTUAL PROPERTY RIGHTS

All content forming part of a Service, including recorded lessons, live session recordings, slides, proprietary frameworks, methodologies, or systems, daily prompts, worksheets, guides, templates, written content, visual design, brand names, and logos, is owned by StoryFirst Academy or used under permission or licence, and is protected under Indian copyright and trademark law and equivalent laws in other jurisdictions.

Subject to Your compliance with these Terms, We grant You a personal, limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the content of a Service for Your own personal and educational purposes only. No other right, title, or interest is granted to You.

You shall not:

a) record, screen-capture, download (save where a download is expressly provided), reproduce, or distribute any content forming part of a Service;

b) share Your access credentials, or provide access to a Service, to any person who has not purchased or registered for it;

c) resell, license, rent, or otherwise commercially exploit any content forming part of a Service;

d) rebrand, white-label, teach, or present any content, framework, or methodology forming part of a Service as Your own; or

e) use any content forming part of a Service to create a competing product, programme, or service.

Nothing in this clause prevents You from applying what You learn in Your own content and Your own business. The restriction is on reproducing or redistributing Our materials, not on Your use of the skills.

No brand name, logo, or mark appearing on the Website or within a Service may be used without Our prior written permission.

13. YOUR CONTENT

Any video, script, story, or other work You create as part of a Service remains Yours entirely. We claim no ownership over it.

Where You share Your work within a community, in a live session, or with Us directly, You grant Us a non-exclusive, royalty-free licence to view it and to provide feedback on it for the purpose of delivering the relevant Service.

Where We wish to feature Your work, your name, or your results publicly, including in marketing material or testimonials, We shall seek Your separate express permission before doing so.

14. THIRD-PARTY PROVIDERS

The Website and the Services rely on Third-Party Providers engaged by Us from time to time and operating independently of Us, each under its own terms and privacy policy, including for payment processing and checkout, email and other communications, video-conferencing or webinar hosting, and community hosting. The identity of the Third-Party Providers We currently engage may change from time to time and, where relevant to the processing of Your Personal Data, is set out in Our Privacy Policy. Links to social media profiles and other websites are provided for Your convenience and are additionally addressed in Clause 15 (Hyperlinks) below.

We do not control, and are not responsible for, any Third-Party Provider, including its availability, security, or data practices.

15. HYPERLINKS

The Website may contain hyperlinks to third-party websites, including a Checkout Page, social media profiles, and other external resources. Such hyperlinks are provided for Your convenience only and do not constitute an endorsement, sponsorship, or approval by Us of the linked website or its content.

We have no control over, and accept no responsibility or liability for, the content, accuracy, availability, security, terms of use, or privacy practices of any linked website. Your access to and use of any linked website is entirely at Your own risk and is governed by that website's own terms of use and privacy policy, which You are responsible for reviewing before You proceed, including before You submit any Personal Data or make any payment on it.

We reserve the right to remove or amend any hyperlink on the Website at Our discretion and without notice.

16. NO WARRANTY

The Website and the Services are provided on an “as is” and “as available” basis, without warranty of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by applicable law.

We do not warrant that the Website or a Service will be available, uninterrupted, error-free, or secure; that any live session will proceed without technical difficulty; that any recording will be produced; or that You will achieve any particular result.

17. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law:

a) We shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary loss of any kind, including loss of profit, revenue, business, opportunity, goodwill, reputation, or anticipated savings, whether or not foreseeable;

b) We shall not be liable for any failure of Your device, browser, camera, microphone, or internet connection; any inability on Your part to attend, access, or complete a Service; any technical failure of a Third-Party Provider or other third-party platform; any lost, corrupted, or unavailable recording; or any decision, action, or outcome taken by You on the basis of a Service;

c) We shall not be liable for the acts or omissions of any other participant, or for any content posted by any other participant;

d) We shall not be liable for any Third-Party Provider or other third party, including any payment gateway, checkout or enrolment platform, communications or email service provider, video-conferencing or webinar hosting provider, community hosting platform, or social media platform, each of which is governed by its own terms and policies and not by these Terms;

e) Our total aggregate liability to You arising out of or in connection with a Service, the Website, and these Terms, whether in contract, tort (including negligence), under statute, or otherwise, shall not exceed the total amount actually paid by You to Us for that Service; and

f) nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under Indian law, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by Our negligence.

Any claim arising out of or in connection with these Terms or a Service must be brought within ninety (90) days of the date on which the event giving rise to such claim occurred, failing which such claim shall be deemed to have been waived.

18. INDEMNITY

You agree to indemnify, defend, and hold harmless StoryFirst Academy from and against any claim, demand, loss, liability, cost, or expense, including reasonable legal fees, arising out of Your misuse of the Website or a Service, Your breach of these Terms, Your conduct towards any other participant, or Your unlawful or infringing use of any content forming part of a Service.

19. FORCE MAJEURE

We shall not be liable for any failure or delay in the performance of Our obligations under these Terms where such failure or delay arises from circumstances beyond Our reasonable control, including acts of God, natural disaster, illness, failure or interruption of internet or telecommunications services, failure of any Third-Party Provider, governmental action, or any other event beyond Our reasonable control.

20. CHANGES, SUSPENSION AND TERMINATION

We may change, suspend, limit, or withdraw the Website, any Service, or any part of either, at any time and without prior notice. We may also amend these Terms; any amended version shall take effect from the date it is posted on the Website, as indicated by a revised “Last Updated” date. Your continued use of the Website or a Service following such amendment constitutes Your acceptance of the amended Terms.

Where an amendment materially affects a Service You have already purchased, We shall notify You by email.

21. PRIVACY

Our Privacy Policy forms an integral part of these Terms and sets out the manner in which Your Personal Data is processed, including in connection with Your purchase of a Service, Your participation in live sessions, and Your membership of any community. Your use of the Website and any Service constitutes Your agreement to the terms of Our Privacy Policy.

25. WAIVER

No failure or delay by Us in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or remedy preclude any further exercise thereof.
